Rules and guidelines for using this website and engaging Automation Technology Limited for industrial automation and related services.
These Terms and Conditions ("Terms") govern your use of our website and the industrial automation, control integration, software, commissioning, and advisory services ("Services") provided by Automation Technology Limited ("us", "we", or "our"), trading as Automation Technology. By accessing our site or engaging our Services, you agree to be bound by these Terms.
1. Services
The specific scope of Services—including deliverables, acceptance criteria, timelines, site access, and fees—will be outlined in a separate contract, order form, or statement of work ("SOW") signed by both parties. These Terms are incorporated by reference into any such agreement.
2. Payment terms
The Client agrees to pay all fees as specified in the applicable agreement. Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice. Late payments may incur interest and may result in suspension of Services until the account is brought current.
3. Intellectual property
All pre-existing intellectual property of each party remains the property of that party. New materials, software (excluding third- party and open-source components under their own licences), documentation, configurations, and reports ("Work Product") created by us in performing the Services remain our property until full payment of the associated fees. Upon receipt of such payment, we grant the Client a non-exclusive licence to use the final Work Product for its internal business and operational purposes, in line with the agreement and any third-party licence terms that apply.
4. Client responsibilities
The Client will provide timely access to sites, personnel, safe systems of work, drawings, network access where agreed, test materials, and operational data reasonably required to deliver the Services. Delays in providing access or information may affect schedules, cost, and outcomes. The Client remains responsible for its processes, products, regulatory compliance, and safe operation of plant and equipment.
5. Confidentiality
Both parties agree to keep confidential all non-public information received from the other during the engagement, including engineering data, production metrics, security configurations, and commercial terms ("Confidential Information"). This obligation survives termination, subject to standard exceptions such as legal compulsion or information that becomes public without breach.
6. Termination
Either party may terminate a Services agreement in accordance with the termination provisions in the relevant contract or SOW. We may suspend or terminate immediately for material breach, including non-payment or unsafe or unlawful instructions. On termination, the Client remains liable for fees and reasonable costs incurred up to the effective date.
7. Disclaimer of warranties
Our Services are provided on an "as is" and professional skill and care basis as defined in the contract. To the fullest extent permitted by law, we disclaim any implied warranties not expressly stated in writing. We do not guarantee specific production rates, OEE figures, energy savings, or payback periods, as these depend on factors outside our control, including Client operation, supply chain, labour, raw materials, and third-party equipment behaviour.
8. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Subject to that, our total aggregate liability arising out of or in connection with the Services or these Terms shall not exceed the total fees paid by the Client to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss, including loss of profit, production, goodwill, or data, except where such exclusion is not permitted by law.
9. Governing law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory provisions of law that apply to you as a consumer.
10. Changes to terms
We may update these Terms from time to time. Material changes will be indicated on this page with an updated effective date. Your continued use of the website after changes constitutes acceptance of the revised Terms; ongoing Services may be governed by the contract in place at the time.
